Antitrust gives approval for Enel’s sale of Wind to Weather Investments II



The Italian Competition Authority, at its meeting of 27 July 2005, decided to authorize the consolidation resulting from the sale by Enel of 62,75% of Wind to Weather Investments II. In the Authority’s view, this operation, which involves the acquisition of joint control of Wind, will not produce significant effects in the market. Based on the Authority’s analysis, there will be no creation or strengthening of a dominant position such as to eliminate competition or reduce it in a substantial or permanent manner. In reaching its decision, the Authority sought the opinion of the Communications Authority, which was favourable. After completion of the whole operation, 37,67% of Wind’s share capital will be held by Enel spa and the remaining 62,33%, by way of an investment vehicle, will be held by Weather Investments srl (94,8% of whose shares belong to Weather Investments II and 5,2% to Enel spa).
